#1 Factor: The Quality of the Source Site
Google and other search engines prefer links on quality sites (sites that have been online for a year or longer and have a high number of quality pages). It is quite possible to outrank another similar website with a higher number of inbound links if you have higher quality inbound link. It is not necessary that all of your backlinks come from high quality websites, however, the general rule is the higher quality the source site the more value given to the link.
#2 Link Popularity and Website Page Rank (PR)
Acquiring links from trusted and popular sites is critical. When trusted websites link to your site, they endorse your website to the search engines and your site is given high rankings. Link popularity along with relevance is the most influential factor Google uses to rank websites and it is a major ranking factor for both Yahoo and MSN.
#3 Source Site Age
Older sites are more trusted by the majority of search engines and older sites have more influence in achieving search engine results placement (SERP). Google appears to place significantly more weight on links from older sites. If a site is older then two years, its value is significantly raised. If a site is more than 5 years old, it is even more influential.
#4 The Placement of the Link on the Page (Zone)
Link position or placement on the source page is also very important. Search engines such as Google, Yahoo and MSN have developed block level analysis techniques that basically allow them to break down a web page into blocks. Certain blocks, or sections of the site carry more weight since they are more likely to be read by website visitors. Links that are hidden or unnoticed at the very bottom of a site receive less value then links embedded in text near the top and middle of a page.

Never get links from bad neighborhoods.
Don't get links from unrelated or irrelevant websites.
Don't get links that are not search engine friendly (uncrawlable).
Strive for keyword rich links and mix up the anchor texts to avoid pattern sensing.
Space link development over a periods of time.
Get deep links to interior pages specific to keywords (avoid getting all homepage links).
